Welcome to The Builders Academy, a nine (9) weeks CeedLab programme designed by Ceedcapital Nigeria Limited, a company incorporated under the Laws of the Federal republic of Nigeria with registration number-RC 1613795, to guide and support resilient venture builders/founders on their journey to building an investable business and a solution-centric startup company (the “Programme”, “we”, “our” or “us”).
These Terms and Conditions (“Terms”) govern the access and use of this Website, including both mobile and online versions, online and mobile services (e.g., apps), and software made available by Ceedcapital Nigeria Limited, including your use of interactive features, widgets, plug-ins, applications, content, downloads and/or other services that we own and control and that post a link to these Terms and Conditions, regardless of how you access or use any of the Services on this Website, whether via computer, mobile device or otherwise. By using any of our Services, you acknowledge and accept our Privacy Policy and consent to the collection and use of your data in accordance with our Privacy Policy.

Please carefully read these terms and conditions ("Terms") below before using or accessing the Services on this Website. Once you click the “Accept”, “I agree to the Terms and Conditions” or any other similar button signifying your decision to be bound by these Terms, either by phone or through our mobile applications or by any other channel made available by us, you agree that these Terms are legally binding between you and Ceedcapital Nigeria Limited.  

References in these Terms and Conditions to “you” (or such similar descriptions) are references to you as a legal entity.

INTERPRETATION

1. Platform means this website as hosted on https://www.thebuildersacademy.org  or such other address as may be updated from time to time.

1. The Contract between Us and You as a User

1.1 You agree that if you are entering into this agreement on behalf of an organization or other entity, you have the requisite authority to bind such an entity and that the said entity is a company registered under the extant law regulating business and non-business organizations in Nigeria. If you do not have the requisite authority to enter into this Agreement, or if you do not agree with these terms and conditions, you must not accept this Agreement and you may not use the Services offered on this Platform

1.2 We will use reasonable efforts at all times to ensure the Platform is available to you on a 24/7 basis. However, it is possible that on some occasions, the Platform may be unavailable due to periodic maintenance of the Platform, upgrades, bug fixes, development activities or in the event of a Force Majeure. At such times, we warrant that we will use reasonable efforts to publish prior notices to that effect on the Platform or notify you by electronic communications.

1.3 You agree that upon applying to the programme, your admission into the programme shall be subject to your adherence to the BA Application Guidelines and Eligibility, as may be revised from time to time and we reserve the right to refuse your application on advise by our selection committee.  

1.4 You agree that whilst we are committed to providing you with the necessary resources through the course of the programme, it is our sole discretion and within our exclusive preserve to determine the allocation of the resources to each entrant.

2. Your Obligations towards Us

2.1 You represent and warrant that if you are an individual, you are over the age of eighteen (18), that you are fully able to enter into the terms and conditions set forth in these Terms and that all information, content and document you submit to us are complete, accurate and truthful.

2.2  You agree that upon your admission into the programme you shall adhere strictly to the time commitment for the programme each week, as communicated to you via electronic mail or other form of electronic communication chosen by you or prescribed by us, and in the event that our participation log reflects your absence for a week without prior notice, we reserve the right to immediately disqualify you from the programme.

2.3 You represent and warrant to us that you have all right, title and/or interest in the pitch deck and documents you shall submit to us and that the information it contains are not plagiarized or in violation of any contract or third-party rights including any patent, copyright, trade secret, proprietary or confidential information, trademark, publicity or privacy right.

2.4 You agree that upon your admission into the programme you shall not engage in any defamatory, improper, indecent or offensive behavior towards the other entrants or towards us, our agents, privies or sponsors.

2.5 You agree that you are solely responsible for maintaining the confidentiality of your account, password and for restricting access to your computer and mobile devices.

3. Withdrawal by You

3.1 To withdraw your participation in the programme at any time, you must notify us by sending an email with the subject “TBA Participation Withdrawal”, or by calling any of the telephone numbers listed on this Platform or by communicating your withdrawal through the communication service (messaging)/live chat function on our Platform. 4. Cancellation by Us.

4.1 We reserve the right to cancel the contract between us if:

4.1.1 You have presented inaccurate application details to us.

4.1.2 You have bkeen found to have breached any of the Terms and Conditions contained herein.

4.1.3 You fail to satisfy the requirements of the programme’s application guidelines and eligibility.

4.1.4 Our selection committee finds your application unsuitable.

4.2 Any cancellation by us for whatsoever reason, will result in your disqualification and consequently a restriction of your access to our Platform. 

5. Limitation of Liability

5.1 To the full extent permissible by law, in no event shall Ceedcapital Nigeria Limited, its sister/subsidiary companies (if any), directors and third parties connected to us, be liable under contract, tort, strict liability, negligence, agency relationship or any other legal or equitable theory with respect to the Programme for the following:

5.1.1 Any liability for any direct, indirect or consequential loss or damage incurred by you in connection with our Platform or in connection with the use, inability to use, or results of the use of our Platform, any websites linked to it and any materials or products posted on it, including, without limitation to any liability for:

  • loss of income or revenue;
  • loss of business;
  • loss of profits or contracts;
  • loss of data;
  • loss of goodwill;
  • wasted management or office time;
  • and for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

5.1.2 Any bugs, viruses, trojan horses or the like (regardless of the source of origination).

2. You hereby release Ceedcapital Nigeria Limited and hold it and its parents, subsidiaries, officers, directors, agents and employees harmless from any and all claims, demands, and damages of every kind and nature (including, without limitation to, actual, special, incidental and consequential), known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with your participation in the Programme. You waive the provisions of any state or local law limiting or prohibiting a general release.

3. Without prejudice to the limitation of liability above, in the event of any problem with the Platform or any of the Services on the Platform, you agree that your sole and exclusive remedy is to cease using the Platform. Under no circumstances shall Ceedcapital Nigeria Limited, its subsidiaries, officers, directors, agents or employees be liable in any way for your use of the Services on this Platform, including, but not limited to, any errors or omissions in the Platform, downtime, any infringement by the Platform of the intellectual property rights or other rights of third parties, or for any loss or damage of any kind incurred as a result of the use of the Services.

7. Third-Party Websites and Links to our Platform:

7.1 We may permit you to link to other websites or resources on the Internet, and other websites or resources may contain links to our Platform. When you access third-party websites, you do so at your own risk. Those other websites are not under our control, and you acknowledge that we are not liable for the content, functions, accuracy, legality, appropriateness, or any other aspect of those other websites or resources.

7.2 We grant you a limited, non-exclusive, revocable, non-assignable, personal, and non-transferable license to create hyperlinks to our Platform, so long as: (a) the links only incorporate text, and do not use any of our Trademark; (b) the links and the content on your website do not suggest any affiliation with us or cause any other confusion; and (c) the links and the content on your website do not portray our Programme in a false, misleading, derogatory, or otherwise offensive manner, and do not contain content that is unlawful, offensive, obscene, lewd, lascivious, filthy, violent, threatening, harassing, or abusive, or that violate any right of any third party or are otherwise objectionable to us. We reserve the right to suspend or prohibit linking to our Platform for any reason, without advance notice or any liability of any kind to you or any third party. The inclusion on another website of any link to our Platform does not imply endorsement by or affiliation with us except otherwise stated by us.

8. Intellectual Property Rights

8.1 Except for the rights expressly granted under these Terms and Conditions:

a.    All content included on this Platform, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, are all properties of Ceedcapital Nigeria Limited, our licensors and/or certain other third parties, where stated. We or our licensors, as the case may be, retain all the rights, titles and interests in and to the contents displayed on this Platform, including, without limitation to, all Intellectual Property Rights therein.

b.   Title to, and all Intellectual Property Rights in your data remains your property.

8.2 You agree that you have no right to use any of our trademarks without our prior written consent.

8.3 All rights not expressly granted to you in these Terms and Conditions are reserved and retained by us or our licensors.

8.4 If you provide us with unsolicited ideas, comments or suggestions relating to our Programme:

a.   all Intellectual Property Rights in that feedback, and anything created as a result of that feedback (including new material, enhancements, modifications or derivative works), are owned solely by us; and

b.   we may use or disclose the feedback for any purpose.

9. Indemnification

9.1 You agree to indemnify, hold harmless, and defend Ceedcapital Nigeria Limited, its parent/subsidiaries and licensors, any party involved in operating, creating, producing, or delivering the Services, and each of their respective officers, owners, directors, shareholders, contractors, agents, employees, general and limited partners, successors, and assigns from and against any and all demands, claims, damages, liabilities, judgments, fines, interest, penalties, losses, costs, expenses, and harms, including without limitation to reasonable attorney’s fees and fees of other professional advisers, arising out of or in connection with:

i. Your use of the Services on our Platform or your participation in the Programme.

ii. Your (or anyone acting under your password or username) violation or breach of these Terms

iii. Your failure to comply with any applicable laws, regulations or guidelines in connection with the Services or Programme.

9.2 You shall not settle any such claim without the prior written consent of Ceedcapital Nigeria Limited.

9.3 These obligations will survive any termination of these Terms.

10. Governing Law

10.1.The contract between us shall be governed by and interpreted in accordance with the Laws of the Federal Republic of Nigeria.

11. Dispute Resolution

11.1 If you have an issue with our Services, please contact us and we will endeavor to resolve your issue as soon as possible. Please note that disputes or claims arising out of or in connection with these Terms and Conditions shall be submitted to mediation in accordance with the Lagos Court of Arbitration (“LCA”) Mediation Guidelines 2011, which are deemed to be incorporated by reference into this clause. In the event that the dispute is not resolved through Mediation, the parties agree to immediately proceed to the Lagos Multi-door Court House. An award of the Multi-door Court may be entered and application made for its enrollment in any court having jurisdiction for purposes of enforcement. Each party shall bear its cost of the proceedings.

12. Severability 

12.1 If any provision of these Terms and Conditions is determined by any Court of Competent jurisdiction to be invalid, illegal or unenforceable, that provision will be severed from these Terms and Conditions and the remaining provisions will continue in full force and effect, so long as the economic or legal substance of the transactions contemplated hereby is not affected in any manner materially adverse to either of the parties.

13. Amendment

13.1.These Terms and Conditions cannot be modified, varied, amended or supplemented in any way by you. We reserve the right to modify, vary, amend or supplement these Terms and Conditions at any time and from time to time. We will post the current version of these Terms and Conditions on this Platform or send same to you via your email address and each such change will be effective upon posting on this Platform or upon the date designated by us as the “effective date” (if any). Your continued use of the Platform following any such change constitutes your agreement to be bound by and your acceptance of these Terms and Conditions as so modified.

14. No Waiver

14.1.Any waiver by us of any of the provisions of these Terms and Conditions will not constitute a waiver of any other provision (whether similar or not), nor will any such waiver constitute a continuing waiver of that particular provision, unless expressly provided by us in writing.
